Terms of payment are within Galizia's sole discretion, and unless otherwise agreed to by Galizia, payment must be received prior to shipment of an order. Payment for the products and services must be made by credit card, certified check, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by Galizia. Invoices are due and payable within the time period noted on the invoice, measured from the date of the invoice. Galizia may invoice parts of an order separately. Orders are not binding upon Galizia until accepted by Galizia. Any quotations given by Galizia will be valid for the period stated on the quotation. Galizia reserves the right to assess interest on past-due invoices and Customer agrees to pay interest on all past-due sums at the highest rate allowed by law. Separate charges for shipping and handling will be shown on Galizia's invoice(s), unless freight was shipped on "collect" basis. Unless Customer provides Galizia with a valid and correct Sales tax exemption certificate applicable to the product ship-to location prior to Galizia's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order, however designated. If applicable, a separate charge for Sales taxes will be shown on Galizia's invoice. Title to products passes from Galizia to Customer on shipment from Galizia's facility. Loss or damage that occurs during shipping by a carrier is clearly the carrier's responsibility, however, the risk of loss and responsibility to file claim against the carrier shall be determined in the following manner: If shipment was sent prepaid by Galizia and no separate shipping charges were paid by the Customer, the risk of loss shall remain with Galizia; If shipment was sent collect or added to Customer's invoice, the risk of loss shall remain with the Customer. Title to software will remain with the applicable licensor(s). Galizia products that are purchased directly from Galizia by an end-user Customer may be returned by Customer in accordance with Galizia's "Total Satisfaction Return Policy" in effect on the date of the invoice. From time to time, Galizia may, in its sole discretion, exchange products or portions of a product. Any exchanges will be made in accordance with Galizia's exchange policies in effect on the date of the exchange. Product Revisions and Discontinuance Galizia's policy is one of on-going product update and revision. Galizia may revise and discontinue products at any time. Galizia will ship products that have the functionality and performance of the products ordered, but changes between what is shipped and what is described in a specification sheet or catalog are possible.
